How Credits, allocations, top-ups, overage, and accounts work.

These Usage Terms form part of, and are incorporated by reference into, the Viktor General Terms of Service. Capitalized terms used but not defined herein have the meanings given in the Definitions.

1. Credits

1.1 Nature of Credits

Credits are the internal billing units used to measure Service consumption. Credits are not legal tender, electronic money, stored value, cryptocurrency, or any financial instrument, and have no monetary value outside the Service. Credits are not refundable or redeemable for cash except as expressly set out in this Agreement. Credits are non-transferable. Customer may not sell, transfer, exchange, gift, or otherwise convey Credits to any third party, and may not establish or participate in any secondary market for Credits. Any attempt to do so is a material breach of these Terms and may result in immediate forfeiture of the affected Credits and suspension of the Service.

1.2 Monthly Allocation

Paid plans include a monthly Credit allocation specified in the Order Form. The allocation is granted at the start of each billing period.

1.3 Standard Credit Rollover

Unused Credits from the standard monthly allocation roll over for up to 1 (one) subsequent billing period following the month of allocation. Credits not consumed within that window expire automatically and are forfeited without refund.

1.4 Top-Up Credits

Where made available, Customer may purchase additional Credits (“Top-Up Credits”) at the then-current rate. Top-Up Credits do not expire and are not forfeited at the end of a Subscription Term; they remain available to Customer across renewal terms and plan changes for as long as Customer maintains an active account. Credits are consumed in the following order: first rolled-over Credits, then current-period subscription Credits, then Top-Up Credits, then Promotional Credits. Top-Up Credits are non-transferable and non-refundable except as expressly stated herein.

Where Customer enables automatic top-ups, Customer authorizes Provider and its payment processor to charge the payment method on file when Customer’s available Credit balance falls below the threshold configured by Customer, subject to any monthly spend limit or other settings made available in the Service. Automatic top-ups are treated as Top-Up Credits under this Section.

1.5 Promotional Credits

Provider may grant trial, referral, promotional, or other bonus Credits (“Promotional Credits”). Unless otherwise stated at the time of grant, Promotional Credits do not expire while Customer maintains an active account, are consumed after Top-Up Credits, and are non-transferable, non-refundable, and of no monetary value.

1.6 Overage

Upon exhaustion of Customer's available Credit balance during a billing period, Customer's access to Credit-consuming functionality is suspended until additional Credits are made available. Customer retains access to non-Credit-consuming features of the Service (including account management, billing portal, and historical data) during such suspension.

1.7 Suspension on Lapse

If a subscription lapses due to non-payment, cancellation, or expiry, Customer retains access to the Service through the end of the then-current billing period. Upon lapse, any unused subscription and rolled-over Credits are forfeited without refund. Top-Up Credits and promotional Credits are unaffected by the lapse and remain available to Customer's account.

1.8 Team Accounts

For team or workspace plans, Credits constitute a shared pool accessible to all Authorized Users of the workspace. Customer is solely responsible for any policies controlling internal allocation of Credits among Authorized Users.

1.9 Mid-Term Plan Changes

Customer may upgrade to a higher plan, commitment tier, or Credit allocation at any time during the Subscription Term. Upgrades take effect immediately upon Customer's confirmation of the upgrade through the billing portal or execution of an amended Order Form, and the upgraded fees, Credit allocations, and any applicable discount tier set out in the applicable Order Form or Pricing Page apply from the effective date of the upgrade, prorated for the remaining portion of the then-current billing cycle where applicable. Where made available in the billing portal, Customer may also downgrade its plan or Credit allocation during the Subscription Term. Downgrades take effect upon Customer’s confirmation: reduced fees apply from the next billing cycle (amounts already paid for the then-current billing cycle are not refunded or prorated), and Credits already granted for the then-current billing period remain available until the next billing-period reset, after which the new plan’s Credit allocation applies. Where a signed Order Form specifies a committed term, tier, or minimum commitment, reductions below the committed amounts take effect only at the start of a Renewal Term, subject to the cancellation procedure in Section 11.3 of the General Terms.

2. Account Registration

To access certain features, Customer or its Authorized Users may be required to register an account. Customer agrees to provide accurate, current, and complete information and to keep it up to date. Customer represents and warrants that any individual creating an account on its behalf is duly authorized to do so.

3. Credentials

Customer is solely responsible for safeguarding the confidentiality and security of all usernames, passwords, API keys, OAuth tokens, and other access credentials. Customer shall require strong, unique passwords for Authorized Users. Customer shall promptly notify Provider in writing of any suspected or actual unauthorized access. Customer is responsible for all activities that occur under its account, whether or not authorized by Customer.

4. KYC and Onboarding Verification

Provider may request information reasonably necessary for identity verification, AML, sanctions screening, or fraud prevention. Customer represents and warrants that all information provided in connection with onboarding or subsequent verification is accurate, current, and complete. Provider may suspend or terminate the Service, in whole or in part, without liability if Customer fails to provide the requested information within a reasonable time, or if Provider or its payment processor determines, in its reasonable discretion, that the information provided is inaccurate, incomplete, or indicates a regulatory, sanctions, or fraud risk.
