Defined terms used across Viktor's legal documents.

These Definitions form part of, and are incorporated by reference into, the Viktor General Terms of Service (the "General Terms"). Capitalized terms used in the General Terms, the Product Terms, the Acceptable Use Policy, the Usage Terms, and the License Terms have the meanings set out below, unless otherwise defined in the applicable document.
"Acceptable Use Policy" means the acceptable use rules set out in Section 1 of the Acceptable Use Policy, as may be updated from time to time, together with any supplemental usage policies published by Provider at viktor.com/legal and incorporated by reference.
"Affiliate" means, with respect to a Party, any entity that directly or indirectly controls, is controlled by, or is under common control with that Party, where "control" means ownership of more than fifty percent (50%) of the voting interests or the power to direct the management and policies of the entity.
"Aggregated Data" has the meaning given in Section 2.3 of the General Terms.
“Authorized User” means an individual employee, contractor, or agent of Customer (or of an affiliate of Customer authorized under the Order Form) whom Customer permits to access and use the Service.
“Connected Platform” means any third-party service or platform that Customer connects to the Service through an authentication mechanism such as OAuth (including, without limitation, Slack, Google Workspace, Microsoft 365, HubSpot, Notion, and similar platforms).
“Core Service” means the ability to connect the Viktor Application to a supported messaging workspace (such as Slack or Microsoft Teams) or to access the Viktor Application through its web, desktop, or mobile surfaces, and to execute AI-driven tasks and workflows based on user instructions or Pre-Authorized Actions. Modifications to specific features, integrations, surfaces, AI models, or capabilities do not constitute a discontinuation of the Core Service.
“Credits” means the internal billing unit used to measure Service consumption, as further described in Section 1 of the Usage Terms.
“Customer Data” means data, content, prompts, instructions, configurations, or other inputs and materials submitted to or processed by the Service by or on behalf of Customer or Authorized Users, including Outputs and content retrieved from Connected Platforms.
“Documentation” means the user guides, technical specifications, security and trust pages, and other materials made available by Provider at viktor.com or within the Service describing the Service’s features and operation.
"Effective Date" means the date on which Customer first accepts these Terms (whether by clicking acceptance, accessing the Service, or executing an Order Form referencing these Terms) or, if later, the effective date specified in the Order Form.
"High-Risk Action" means an action category designated as high-risk in the Documentation, which requires explicit per-action approval by an Authorized User before execution and cannot be designated as a Pre-Authorized Action. Provider may update the categories of High-Risk Actions from time to time.
"Initial Term" means the initial subscription period specified in the Order Form, beginning on the Effective Date.
“Order Form” means any of the following: (a) an online ordering or checkout flow on viktor.com (or a successor URL) through which Customer confirms its order and Provider acknowledges acceptance (whether by automated confirmation, e-mail receipt, or activation of the Service), (b) a written or e-signed ordering document, or (c) a signed quotation, in each case referencing these Terms and identifying the subscribed plan, Subscription Term, fees, and any plan-specific parameters. For the avoidance of doubt, Customer's confirmation of an order via the online flow on viktor.com constitutes an Order Form for all purposes of this Agreement.
“Outputs” means content, decisions, suggestions, or actions generated by the Service’s AI components in response to Customer Data, prompts, or configured workflows.
“Pre-Authorized Action” means an action that Customer has, through configuration of permission scopes or approval policies in the Service, authorized the Service to execute autonomously without per-action approval. Pre-Authorized Actions do not include High-Risk Actions designated in the Documentation.
"Pricing Page" means the pricing information published by Provider at viktor.com (or a successor URL) describing the standard plans, Credit allocations, overage rates, and other applicable fees, as may be updated from time to time.
“Product Terms” means the Viktor Product Terms, as may be updated from time to time, which set out the product-specific terms applicable to the Service (including the service description, AI functionality, Connected Platform integration, security, and service levels) and which are incorporated into and form an integral part of these Terms by reference.
“Regulated Data” has the meaning given in Section 3 of the Acceptable Use Policy.
“Subscription Term” means the initial term and each renewal term during which Customer is entitled to access the Service, as specified in the Order Form.
“Viktor Application” means the software application, including its web, desktop, mobile, and messaging-platform components (such as the Slack and Microsoft Teams applications), made available by Provider as part of the Service, including any updates, patches, and replacement components released by Provider from time to time.
